These Terms of Service («Terms») are a legally binding agreement between ArbiBase, LLC («ArbiBase,» «Company,» «we,» «us,» or «our») and you, governing your access to and use of www.arbibase.com, our portal, dashboards, APIs, and related services (the «Services»). By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Our Services

ArbiBase provides a subscription-based database and portal that surfaces verified, arbitrage-friendly property leads and related operational signals (e.g., restrictions, verification level, market data). The Services are provided for general informational and internal business purposes only. We do not provide legal, tax, brokerage, investment, or property-management services.

Geographic access. You are responsible for complying with applicable laws wherever you access the Services. We do not represent that content is appropriate or available in every jurisdiction.

Regulated sectors. The Services are not designed to comply with sectoral regulations (e.g., HIPAA, GLBA). Do not use the Services where doing so would violate such laws.

2. Eligibility & Account Registration

You represent and warrant that:

  • You are at least 18 years old
  • You have capacity to enter these Terms
  • Registration information is accurate and kept current
  • You will not use automated/non-human means to access the Services
  • You will use the Services only for lawful purposes

You must keep your credentials confidential and are responsible for all activity under your account. We may reclaim or change a username we deem inappropriate or confusing.

3. Subscriptions, Billing, and Refunds

Plans & Renewal

Access is sold by subscription (e.g., Beta/Standard, Pro, Premium, Enterprise). Subscriptions auto-renew each period unless you cancel.

Billing Authorization

You authorize us and our payment processors (e.g., Stripe, PayPal) to charge on a recurring basis until you cancel. Prices may change; we’ll notify as required by law, and continued use after effective date constitutes acceptance.

Refunds

  • Monthly plans: Refunds available only within 7 days of your first payment for new subscriptions
  • Annual plans: Refundable within 30 days of first payment; non-refundable thereafter
  • Except as described above or required by law, all fees are non-refundable and no credits are issued for partial periods

Cancellation

You may cancel at any time in the portal or by contacting billing@arbibase.com; cancellation takes effect at the end of the current term.

Taxes

Fees are exclusive of taxes. You are responsible for applicable taxes (if any).

4. No Brokerage; No Management; No Guarantees

Important Disclaimer

ArbiBase does not: (a) sign leases; (b) act as a real-estate broker, agent, subagent, finder, or property manager; (c) co-host or operate any property; (d) guarantee approvals, profits, occupancy, ROI, or compliance outcomes; (e) negotiate or execute agreements on your behalf. You remain solely responsible for your transactions and outcomes.

5. Property Verification & «Approval» Definitions

ArbiBase may categorize properties as:

V1 – Verbal

Owner/manager expressed verbal openness to arbitrage/subleasing (e.g., recorded call, transcript, or call log).

V2 – Written

Written communication (email/text) indicates openness and any conditions.

V3 – Consented

A consent form or written statement explicitly permits STR/MTR or subleasing under defined terms.

Critical Notice

Positions may change at any time and screening decisions remain at owners’/managers’ discretion. Verification signals are informational only. You must obtain your own written authorization and fully executed agreements before operating.

6. User Responsibilities (Compliance & Due Diligence)

  • Perform independent due diligence (legal, regulatory, financial, operational)
  • Obtain and maintain legally binding written approvals and permits as required
  • Comply with municipal, county, state, and federal rules (zoning, licensing, STR/MTR rules, tax, HOA/condo rules, noise, safety, occupancy, insurance)
  • Use the Services only for your internal business purposes and not to compete with ArbiBase
  • Do not share, resell, redistribute, scrape, or bulk export ArbiBase data, owner contacts, or market signals without written consent
  • Communicate honestly with property owners/managers (no misrepresentation)

7. Prohibited Activities

  • Systematic scraping/harvesting to build databases or competing services
  • Circumventing access controls, rate limits, or security; probing/testing vulnerabilities
  • Using bots/automation without written permission
  • Uploading malicious code or disrupting the Services
  • Impersonation, fraud, infringement, or legal violations
  • Reverse-engineering or creating derivative works except as permitted by law
  • Sharing credentials or reselling seats/access

8. Intellectual Property; License; Feedback

All rights in the Services and ArbiBase IP belong to ArbiBase or its licensors. Subject to compliance, we grant a limited, revocable, non-exclusive, non-transferable license to access/use the Services for internal business purposes only.

Feedback

You assign—or grant a perpetual, irrevocable, worldwide, royalty-free license for—ArbiBase to use Feedback without restriction or compensation.

9. User Content; Contribution License

You represent you own or have rights to any content you submit and that it does not violate law or third-party rights. You grant ArbiBase a worldwide, perpetual, irrevocable, royalty-free license to host, store, reproduce, adapt, display, and use such content to operate, improve, and promote the Services. We may remove or edit User Content at our discretion.

10. Third-Party Websites, Tools, and Integrations

The Services may link to or integrate with third parties (e.g., Stripe, Supabase, mapping providers). We are not responsible for third-party content or policies; your use is governed by their terms.

11. Service Management; Availability; Modifications

We may monitor use, investigate violations, and act to protect the Services and users. Availability may vary (maintenance, updates, outages). We may add, modify, or discontinue features at any time.

12. Data; Privacy; Security

Your use is subject to our Privacy Policy. We apply commercially reasonable safeguards; no system is perfectly secure. You are responsible for securing your devices, credentials, and network. Do not upload sensitive data beyond what is necessary.

13. DMCA / Copyright Infringement

Send notices including:

  • Signature of copyright owner or authorized agent
  • Identification of the copyrighted work
  • Identification of infringing material
  • Contact information
  • Good-faith statement
  • Statement under penalty of perjury

14. Disclaimers

Legal Disclaimer

THE SERVICES AND ALL CONTENT ARE PROVIDED «AS IS» AND «AS AVAILABLE.» TO THE FULLEST EXTENT PERMITTED BY LAW, ARBIBASE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND QUIET ENJOYMENT.

WITHOUT LIMITATION, ARBIBASE DOES NOT WARRANT THAT:

  • Any property will be approved for subleasing or STR/MTR
  • Any deal will close or be profitable
  • Market data is error-free or current
  • The Services will be uninterrupted or secure

15. Limitation of Liability

Liability Limitations

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARBIBASE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.

ARBIBASE’S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNTS YOU PAID IN THE THREE (3) MONTHS PRECEDING THE EVENT (OR US$500, WHICHEVER IS GREATER). SOME JURISDICTIONS LIMIT THESE EXCLUSIONS.

16. Indemnification

You will defend, indemnify, and hold harmless ArbiBase and its affiliates from claims and costs arising out of your use of the Services, breach of these Terms, User Content, or violation of law/rights. We may assume exclusive defense at your expense.

17. Electronic Communications & Signatures

You consent to electronic communications and agree that electronic notices, disclosures, and records satisfy legal requirements. You agree to electronic signatures and records for transactions with us.

18. SMS / WhatsApp Text Messaging

By providing your phone number, you consent to receive SMS/WhatsApp messages from ArbiBase regarding account updates, property alerts, and service notifications. Message and data rates may apply. Reply STOP to opt out.

19. State-Specific Disclosures (FL, CA, NY)

California Residents

You have specific rights under the California Consumer Privacy Act (CCPA). See our Privacy Policy for details.

Florida Residents

ArbiBase is not a licensed real estate broker in Florida. All property information is provided for informational purposes only.

New York Residents

ArbiBase does not provide rental brokerage services in New York. Users must comply with all NYC and NYS regulations.

20. Dispute Resolution; Arbitration; Class-Action Waiver

Informal Resolution

Before filing a claim, you agree to contact us at legal@arbibase.com to attempt informal resolution.

Arbitration Agreement

Any dispute will be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) rules. You waive the right to participate in class actions or collective proceedings.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.

21. Term; Suspension; Termination

These Terms remain in effect until terminated. We may suspend or terminate your access immediately for violations. Sections that should survive termination (including disclaimers, limitations, and IP provisions) will continue to apply.

22. Miscellaneous

Entire Agreement

These Terms constitute the entire agreement between you and ArbiBase regarding the Services.

Amendments

We may update these Terms at any time. Continued use after changes constitutes acceptance.

Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

No Waiver

Our failure to enforce any right does not waive that right.

Assignment

You may not assign these Terms without our written consent. We may assign without restriction.
